Terms of Service

These Terms of Service (“Terms”) are a legally binding agreement between you and Cannafront (“Cannafront,” “we,” “our,” or “us”) that governs your access to and use of (i) the website located at cannafront.ai (the “Site”), (ii) our white-label mobile application platform and related merchant dashboard, and (iii) any related products and services we provide (collectively, the “Services”).

1. Acceptance of Terms

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not access or use the Services.

If you are using the Services on behalf of a business entity (such as a dispensary or company), you represent and warrant that you have authority to bind that entity, and “you” refers to both you and the entity.

2. Description of Services

Cannafront provides an AI-powered, white-label mobile engagement platform designed for licensed cannabis dispensaries (“Merchants”). The Services may include:

• Customizable mobile application experiences branded per Merchant
• AI-powered product discovery and smart product recommendations
• Intelligent push notifications generated by AI and approved by the Merchant
• Favorites, quick re-order functionality, and engagement features
• A Merchant configuration dashboard for managing settings, content, and branding

Important limitations. Cannafront is an engagement layer that may sit on top of third-party ecommerce and/or point-of-sale systems. Cannafront is not a point-of-sale system, checkout or payment processor, compliance system, marketplace, or system of record. Checkout, payment processing, inventory, pricing, fulfillment, and regulatory compliance remain the sole responsibility of the Merchant and its chosen providers.

3. Eligibility and Age Restrictions

3.1 Site Visitors

The Site is intended for general informational use. You must be at least 18 years old to submit forms or otherwise provide information to Cannafront through the Site.

3.2 App Users

If you download, access, or use any Cannafront-powered mobile application that enables cannabis browsing, recommendations, ordering, or other cannabis-related features (“Cannafront App”), you must be at least 21 years old (or the applicable legal age in your jurisdiction, if higher). By using a Cannafront App, you represent and warrant that you satisfy these requirements.

Cannafront Apps may include an age-gate. Misrepresenting your age is a violation of these Terms and may violate applicable law.

3.3 Merchant Representatives

If you are a Merchant or an authorized representative of a Merchant, you represent and warrant that you are at least 18 years old and have authority to act for the Merchant.

4. User Categories

These Terms apply to all users of the Services, including:

• Site Visitors (people who visit cannafront.ai or submit forms)
• Merchants (licensed cannabis dispensaries and their authorized representatives)
• App Users (end-users who download/access a Cannafront App for a particular Merchant)

If a separate written agreement applies to a Merchant (for example, a subscription agreement, order form, DPA, or master services agreement), that agreement will control in the event of a conflict for Merchant use.

5. Merchant-Specific Terms

5.1 Onboarding and Authorization

Merchants authorize Cannafront to connect to the Merchant’s designated ecommerce and/or point-of-sale systems (“Third-Party Systems”) to enable the Services. Merchants are responsible for providing accurate information, valid licensing details, and necessary integration credentials.

5.2 Merchant Control and Approval

Merchants control branding, configuration, and approval of AI-generated push notifications before delivery to App Users. Cannafront will not deliver AI-generated push notifications without Merchant approval.

5.3 Merchant Compliance Obligations

Merchants are solely responsible for compliance with all applicable laws governing cannabis operations, including licensing, advertising, labeling, age verification at the point of sale, fulfillment, delivery, returns, and recordkeeping. Cannafront does not provide legal, compliance, or regulatory advice.

5.4 Merchant Data Processing

For personal data processed by Cannafront on behalf of a Merchant, the parties’ obligations will be governed by a separate Data Processing Agreement (“DPA”) where applicable. In that context, Cannafront generally acts as a service provider/processor and the Merchant is the business/controller.

6. Acceptable Use

You agree not to (and not to allow any third party to):

• Violate any applicable law or regulation, including cannabis industry regulations
• Submit false, misleading, or fraudulent information
• Interfere with, disrupt, or overburden the Services
• Attempt unauthorized access to the Services, accounts, networks, or systems
• Reverse engineer, decompile, disassemble, or attempt to derive source code, models, or underlying methods (except to the extent such restriction is prohibited by law)
• Use automated systems (bots, scrapers, crawlers) without our prior written consent
• Use the Services to promote or facilitate sales to individuals under the legal age
• Transmit malware, viruses, or harmful code
• Infringe or misappropriate Cannafront’s or any third party’s intellectual property or proprietary rights

We may suspend or terminate access to the Services if we reasonably believe you violated these Terms.

7. Accounts and Security

Some Services may require an account (including Merchant dashboard access). You are responsible for:

• Maintaining the confidentiality of credentials
• All activity under your account
• Promptly notifying us of any suspected unauthorized access

We are not responsible for losses caused by unauthorized use of your account where you failed to use reasonable security measures.

8. Intellectual Property

8.1 Cannafront IP

The Services (including software, AI models, algorithms, UI, APIs, documentation, trademarks, and logos) are and remain Cannafront’s exclusive property. These Terms grant you only a limited right to use the Services as permitted.

8.2 License to Use the Services

Subject to compliance with these Terms, Cannafront grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose.

8.3 Merchant Content

Merchants retain ownership of their branding assets, product catalog data, and other content they provide (“Merchant Content”). Merchants grant Cannafront a limited license to host, use, display, and distribute Merchant Content solely to operate the Services for the Merchant.

8.4 App User Content

If you submit content through the Services (for example, messages, reviews, or feedback, if enabled), you grant Cannafront and the applicable Merchant a non-exclusive license to use that content as necessary to provide and improve the Services, subject to the Privacy Policy.

8.5 Feedback

If you provide suggestions or ideas (“Feedback”), you grant Cannafront a perpetual, irrevocable, worldwide, royalty-free license to use and exploit Feedback without compensation.

9. AI-Powered Features and Disclaimers

The Services include AI features such as product discovery, recommendations, and notification drafting. You acknowledge and agree:

• No medical or health advice. AI outputs are for informational/engagement purposes only and are not medical advice.
• No guarantee of accuracy. AI-generated outputs may be incomplete, inaccurate, or inappropriate.
• Merchant oversight. Merchant-approved content is the Merchant’s responsibility.
• Per-dispensary scope. Recommendations may be limited to activity within a single Merchant context.
• Opt-out. App Users may opt out of certain personalization as described in the Privacy Policy or by contacting privacy@cannafront.ai.

10. Cannabis Industry Disclaimers

You acknowledge and agree:

• Cannabis remains a controlled substance under U.S. federal law (21 U.S.C. § 812). Cannafront operates as a technology provider in jurisdictions where cannabis is legal under state/local law.
• Cannafront does not cultivate, manufacture, distribute, or sell cannabis.
• Cannafront does not verify product potency, labeling, testing, or compliance status. Product data is sourced from Merchant Third-Party Systems and Merchant Content.
• You are solely responsible for ensuring compliance with applicable laws and for any decisions to purchase/use cannabis products.

11. Privacy

Your use of the Services is subject to the Privacy Policy. Please review it for information on how we collect, use, and share information.

12. Third-Party Services and Integrations

The Services may integrate with Third-Party Systems and other third-party services (e.g., analytics, email, hosting). Cannafront is not responsible for third-party services’ availability, performance, security, or terms. Your use of third-party services is governed by those third parties’ terms and privacy policies.

13. App Stores and Device Terms

Cannafront Apps may be distributed through third-party app stores (e.g., Apple App Store or Google Play). Your use of those stores and your device is subject to their applicable terms. Cannafront is not responsible for app store services.

14. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CANNAFRONT DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, or error-free, or that outputs (including AI outputs) will be accurate or suitable for any purpose.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CANNAFRONT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF BUSINESS OPPORTUNITY, OR LOSS OF GOODWILL, ARISING FROM OR RELATED TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CANNAFRONT’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO CANNAFRONT IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow certain limitations; in those jurisdictions, liability will be limited to the fullest extent permitted by law.

16. Indemnification

You agree to defend, indemnify, and hold harmless Cannafront and its officers, directors, employees, agents, and affiliates from and against claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your use of or access to the Services
• Your violation of these Terms
• Your violation of applicable law or regulation
• Your content or conduct
• For Merchants: your cannabis operations, including product liability claims, regulatory violations, advertising claims, fulfillment/delivery disputes, and customer disputes related to products displayed or sold through a Cannafront App

17. Dispute Resolution

17.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us at legal@cannafront.ai and attempt informal resolution for at least thirty (30) days.

17.2 Binding Arbitration

If unresolved, disputes arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by JAMS under its Comprehensive Arbitration Rules and Procedures. The arbitration will be conducted by a single arbitrator in California, unless the parties agree otherwise.

17.3 Class Action Waiver

DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

17.4 Exceptions

Either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement or misappropriation of intellectual property rights.

18. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict of laws principles.

To the extent any court proceeding is permitted under these Terms (including to enforce an arbitration award), you agree to exclusive personal jurisdiction and venue in the state and federal courts located in California.

19. Termination

19.1 Termination by You

You may stop using the Services at any time. Merchants may terminate subscriptions per any separate Merchant agreement.

19.2 Termination by Cannafront

We may suspend or terminate access at any time, with or without notice, including for violations, non-payment (for Merchants), loss of licensure, or illegal activity.

19.3 Effect of Termination

Upon termination, your right to use the Services ceases. Sections that by their nature should survive will survive, including Sections 8, 9, 14, 15, 16, 17, and 18.

20. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the “Last Updated” date and post the revised Terms on the Site. For Merchants, we may also provide notice via email consistent with any separate Merchant agreement. Your continued use after changes become effective constitutes acceptance.

21. General Provisions

21.1 Entire Agreement

These Terms, the Privacy Policy, and any applicable DPA or Merchant agreement constitute the entire agreement regarding the Services and supersede prior understandings.

21.2 Severability

If any provision is invalid or unenforceable, the remainder remains in effect, and the provision will be modified to the minimum extent necessary.

21.3 Waiver

Failure to enforce a provision is not a waiver.

21.4 Assignment

You may not assign these Terms without our prior written consent. Cannafront may assign these Terms in connection with a merger, acquisition, or sale of assets.

21.5 Force Majeure

We are not liable for delays or failures due to events beyond our reasonable control.

21.6 Notices

Notices to Cannafront must be sent to legal@cannafront.ai. We may provide notices to you by email, within the Services, or by posting on the Site.
